01Acceptance of Terms

By accessing or using this website ("Site"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, please discontinue use of the Site immediately. If you are using the Site on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

02Definitions

• "Company", "we", "us", or "our" means Omer Iqbal Mallick Software Solutions, trading as Drixon.
• "Site" means drixon.agency and all pages, subdomains, and tools hosted on it.
• "Services" means any design, development, marketing, or consulting services Drixon may provide under a separate signed proposal or agreement.
• "Tools" means the free browser-based utilities made available on the Site, including the PDF Tools suite and AI Tools (e.g. the Agent Card Generator, AI Pitch Coach, and AI PDF Summarizer).
• "You" or "User" means any individual or entity accessing or using the Site.

03Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use this Site or engage Drixon for Services. By using the Site, you represent that you meet this requirement.

04Use of This Website

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use and enjoyment of, this Site by any third party. Prohibited conduct includes, without limitation:

• Attempting to gain unauthorized access to the Site, its servers, or any connected systems or databases
• Introducing viruses, malware, or any other technologically harmful material
• Scraping, crawling, or harvesting content or data from the Site by any automated means without our prior written consent
• Using the Site to transmit unsolicited advertising, spam, or any unlawful, defamatory, or infringing material
• Interfering with or disrupting the Site's servers, networks, or the experience of other users
• Reverse engineering, decompiling, or attempting to extract the source code of the Site or its Tools

05Free Tools — PDF Tools & AI Tools

Drixon provides a number of Tools free of charge, including but not limited to the PDF Tools suite (merge, split, compress, convert, watermark, sign, protect, and related utilities) and AI Tools (the Agent Card Generator, AI Pitch Coach, AI PDF Summarizer, and Brochure Builder). The following applies to your use of these Tools:

• Most Tools run entirely in your own browser — files you upload for tools such as Merge, Split, Compress, or the Brochure Builder are processed locally on your device and are not transmitted to or stored on our servers, except where a Tool explicitly states otherwise (for example, the AI PDF Summarizer, which sends extracted text to a third-party AI provider solely to generate a summary, and is not retained by Drixon afterward).
• The Tools are provided "as is" and "as available", without warranty of any kind. We do not guarantee that any Tool will be uninterrupted, error-free, or produce a specific result.
• You are solely responsible for the files, text, images, and other content you upload to or process through the Tools, and for ensuring you have the necessary rights to use that content.
• You must not use the Tools to process any content that is unlawful, infringing, or that you do not have the right to use.
• We reserve the right to modify, suspend, rate-limit, or discontinue any Tool at any time without notice.
• The Tools are provided for general convenience and do not constitute legal, financial, or professional advice — for example, a generated password, signature, or watermark should not be relied upon as a substitute for proper security or legal review.

06Client Services & Engagements

Descriptions of Services on this Site (websites and portals, brand identity, video production, social media management, paid advertising, and SaaS products) are provided for general informational purposes only and do not constitute a binding offer. Any actual engagement for Services is governed exclusively by a separate written proposal, statement of work, or agreement signed by both parties, which will set out the specific scope, deliverables, timeline, fees, and terms for that engagement. In the event of any conflict between these Terms and a signed agreement for Services, the signed agreement will prevail with respect to that engagement.

07Fees, Payment & Refunds

Where Services are engaged, fees, payment schedules, and any refund or cancellation terms will be set out in the applicable proposal or agreement. Unless otherwise agreed in writing, invoices are due within the timeframe stated on the invoice, and we reserve the right to pause or suspend work on any engagement with overdue payment. The free Tools on this Site are provided at no cost and are not subject to any fee or refund terms.

08Intellectual Property

Unless otherwise stated, all content on this Site — including text, graphics, logos, icons, images, code, and the overall look and feel — is the property of Drixon / Omer Iqbal Mallick Software Solutions or its licensors, and is protected by applicable intellectual property laws. You may not copy, reproduce, republish, or create derivative works from any part of the Site without our prior written permission, except as necessary to use the Tools for their intended purpose (for example, downloading a file you generated using a Tool).

09Ownership of Client Deliverables

Ownership of deliverables created for a client under a specific Services engagement (such as a website, brand identity, or video) transfers to the client upon full payment, unless otherwise stated in the applicable signed agreement. Drixon retains the right to display completed work in its portfolio, case studies, and marketing materials unless the client requests otherwise in writing.

10Content You Submit

Where you submit content to the Site — for example, a photo uploaded to the Agent Card Generator, a voice recording made with the AI Pitch Coach, property details entered into the Brochure Builder, or a message sent through the contact form — you retain ownership of that content. You grant Drixon a limited license to process that content solely for the purpose of providing the relevant feature or responding to your inquiry, and you are responsible for ensuring you have the right to submit it.

11Third-Party Services & Links

The Site may link to, or rely on, third-party services (such as AI providers used by certain AI Tools, or external sites linked from our content). We do not control and are not responsible for the content, accuracy, availability, or practices of any third-party service or website. Your use of any third-party service is subject to that provider's own terms and privacy policy.

12Confidentiality

Any confidential or proprietary information shared between you and Drixon in the course of a Services engagement will be treated as confidential and used only for the purposes of that engagement, subject to the terms of any separate confidentiality or non-disclosure agreement entered into by the parties.

13Disclaimers & Warranties

The Site and all Tools are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site or Tools will be secure, uninterrupted, or error-free. We make no warranty regarding the accuracy, completeness, or reliability of any content, summary, or output generated through the Tools, including AI-generated output.

14Limitation of Liability

To the fullest extent permitted by applicable law, Drixon / Omer Iqbal Mallick Software Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Site or any Tool — even if we have been advised of the possibility of such damages. Our total aggregate liability arising from or relating to the Site or the Tools shall not exceed the amount, if any, paid by you to us in the twelve (12) months preceding the claim; liability arising from a specific Services engagement is instead governed by the applicable signed agreement.

15Indemnification

You agree to indemnify and hold harmless Drixon / Omer Iqbal Mallick Software Solutions, its officers, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or Tools, your violation of these Terms, or your infringement of any third-party right.

16Termination

We reserve the right to suspend or terminate your access to the Site or any Tool, without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to the Site, other users, or Drixon. Provisions of these Terms which by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) will continue to apply.

17Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to conflict of law principles. You agree that any dispute arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

18Dispute Resolution

If a dispute arises out of or relates to these Terms, the parties agree to first attempt to resolve the dispute informally by contacting us at the email address below. If the dispute cannot be resolved informally within thirty (30) days, either party may pursue the matter in accordance with the Governing Law & Jurisdiction section above.

19Changes to These Terms

We may update these Terms from time to time to reflect changes to the Site, our Services, or applicable law. The "Last updated" date at the top of this page will be revised accordingly. Continued use of the Site after changes are posted constitutes your acceptance of the revised Terms. Material changes affecting an active Services engagement will be communicated separately.

20Severability & Entire Agreement

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms, together with any signed proposal or agreement governing a specific Services engagement, constitute the entire agreement between you and Drixon with respect to the Site.
